20 Hours On Us Program — Terms & Conditions

Sponsor: Tall Oaks Ventures, LLC, a Florida limited liability company ("Tall Oaks Ventures," "we," "us") Program period: Applications are accepted on a rolling basis until we announce on our website that the Program is closed. Last updated: August 24, 2026
Plain-English summary (the full terms below control): Apply, and if we select your business — this isn't a contest; Tall Oaks Ventures, LLC alone decides who's eligible and who's picked, and its decisions are final — you get up to 20 hours of our time over one week — no cost, no purchase required — put toward a Flutter app or a website for your business. We scope the week's goals with you up front, and the project is whatever those 20 hours can build. We build with modern AI development tools, and you keep everything we create: the complete source code is handed to you as a zipped project file. In return, you let us name your business and describe the project in our marketing. Either of us can walk away at any time, and you're never obligated to buy anything afterward.

1. The Program

The "20 Hours On Us" Program (the "Program") is a promotional offer under which Tall Oaks Ventures provides selected businesses a complimentary week of consulting and development services directed at a single Flutter application or website (the "Project"). The Program is not a contest, lottery, sweepstakes, or giveaway of any kind. No element of chance is involved, nothing is awarded by drawing or vote, and no one has a right to be selected. The Program is a business-development initiative: Tall Oaks Ventures, LLC alone decides, in its sole discretion, which applicants are eligible and which are selected, and its decisions are final. All services under the Program are performed by and in the name of Tall Oaks Ventures, LLC — not by any individual personally (Section 14). By submitting an application, you agree to these Terms & Conditions on behalf of the business you represent.

2. The Offer

If your business is selected, Tall Oaks Ventures will provide, at no charge: • Up to twenty (20) hours of professional services directed at one Project — a Flutter application (mobile, desktop, or web) or a website — as consultation, technical assessment, architecture and product planning, and/or hands-on development, in any mix we and you agree suits the Project; • Delivered over up to five (5) consecutive business days (the "Program Week"), scheduled by mutual agreement within sixty (60) days of selection; • Source-code delivery as a zipped project file: all code produced during the Program Week is delivered to you as a complete, zipped project archive (via download link or email attachment) at the end of the Program Week. Deployment, publication, app-store submission, and repository or hosting setup are not included (Section 3); • A wrap-up summary of what was done and recommended next steps. Either party may reschedule the Program Week, or affected days of it, for good cause (for example illness or emergency) with reasonable notice, and neither party is liable for delay caused by events beyond its reasonable control. The Project's scope is limited to the allotted twenty (20) hours. During the initial Consultation we will agree on goals sized to fit the hours, and we may re-prioritize with you during the week as the work develops. When the hours are used, work stops: the deliverable is the work product as it exists at that point, delivered as described above. We make no commitment that the Project will be complete, feature-complete, or launch-ready within the Program Week — twenty hours buys what twenty hours can build, and anything more would be a separate paid engagement (Section 13). Work requested outside this scope (for example, native non-Flutter apps, embedded systems, or standalone backend platforms) is not part of the offer, though we're happy to discuss such projects separately. The offer has no cash value, is non-transferable, and cannot be exchanged for a discount, credit, or any other service. Unused hours expire at the end of the Program Week. One Program Week per business (including affiliates and related entities).

3. What's Not Included

The Program Week does not include, and you remain responsible for, any third-party or out-of-pocket costs, including without limitation: app store developer accounts and fees, hosting and cloud-service charges, third-party software licenses, paid APIs, domain names, certificates, and hardware. The Program Week also does not include ongoing maintenance, support, deployment, publication or store-submission services, repository or hosting setup, or any work beyond the twenty (20) hours, unless separately agreed in writing. Code is delivered as described in Section 2; installing, building, deploying, or operating it in your environment is your responsibility. The Program Week also does not include compliance engineering, certification, or legal review for regulated regimes (for example HIPAA, PCI-DSS, COPPA, GDPR, or industry-specific rules), and deliverables are not represented as compliant with any such regime.

4. AI-Assisted Development

Tall Oaks Ventures builds with an array of artificial-intelligence development tools, both locally run and cloud-hosted — for example code-generation assistants, AI coding agents, and AI-supported analysis and design tools — and uses them throughout consultation and development. By participating you acknowledge and consent that: • Project materials you provide (requirements, sample data, existing code) may be processed by such tools, including transmission to reputable cloud-hosted AI providers, as needed to perform the services; • We select providers with commercially reasonable care and remain fully responsible for reviewing and delivering the work product, which is provided under the same terms (Sections 8, 10, and 11) regardless of the tools used to produce it; • If specific materials must not be processed by cloud services, you must tell us in writing before the Program Week begins, and we will either work around them with locally run tools or agree with you on an adjusted scope.

5. Eligibility

To apply, you must: • Be a legally formed business, or an individual conducting business, in a jurisdiction where this offer is lawful; • Apply through an authorized representative at least eighteen (18) years of age with authority to bind the business to these terms; • Not be a competitor of Tall Oaks Ventures (e.g., a software-consulting or app-development firm applying for its own benefit); • Submit no more than one application per business during the Program period. The Program is void where prohibited or restricted by law. Tall Oaks Ventures, LLC determines in its sole discretion whether an applicant meets these requirements, and may disqualify any applicant it reasonably believes does not; its eligibility determinations are final.

6. Application and Selection

Applications are submitted only through the application form on the Tall Oaks Ventures website (talloaksventures.com), and should briefly describe the business and the project or problem the Program Week would address. Applications submitted by any other means — including email — are not accepted. Selection is entirely at the discretion of Tall Oaks Ventures, LLC. We expect to select a limited number of participating businesses during the Program period and make no commitment to select any particular applicant or any minimum number of applicants. We may ask follow-up questions, request verification of eligibility, and decline any application without stating a reason. All eligibility and selection decisions are made solely by Tall Oaks Ventures, LLC and are final; selection is based on business fit, not chance, and no application confers any right to be selected. Applying creates no obligation on either side; these terms take full effect for a business only upon selection and our written confirmation (email suffices).

7. Your Commitments

If selected, you agree to: • Cooperate reasonably — make available, in a timely way, the people, information, decisions, and access (accounts, sample data, existing code, etc.) needed for the work; if we cannot proceed for lack of cooperation, the Program Week may lapse without completion; • Participate in the Program meetings — the Program Week is structured around three meetings, and your participation in each (by a representative with decision-making authority) is a condition of the offer: (1) an initial Consultation to define the Project and agree on the week's goals; (2) a Design Review to confirm direction before or during development; and (3) a Final Demo of the app or website and walkthrough of the delivered work. Meetings are held by video call unless we agree otherwise, are scheduled by mutual agreement, and count toward the twenty (20) hours. If you are unable or unwilling to attend a meeting after reasonable attempts to schedule it, the Program Week may lapse without completion; • Marketing permission — allow Tall Oaks Ventures to identify your business by name and logo as a Program participant and to describe the project and its results in our marketing materials, website, portfolio, and case studies. We will submit any written case study naming your business to you for review before first publication, and will not disclose your confidential information (Section 9) in any marketing material; • Accuracy — ensure the information in your application is truthful and that materials you provide for the work don't infringe anyone else's rights; • Provide test data, not live personal data — supply de-identified, synthetic, or sample data for the work wherever possible. Do not provide personal information about your customers or employees, health information, payment-card data, or other regulated data unless we have agreed to it in writing first. You are responsible for having the right to share everything you provide (see also Section 4 on AI tools).

8. Intellectual Property

• You own the deliverables. Upon completion of the Program Week, Tall Oaks Ventures assigns to you all right, title, and interest in the work product created specifically for your business during the Program Week (code, designs, documents, prototypes), except as set out below. • We keep our pre-existing materials. Tall Oaks Ventures retains all rights in tools, libraries, templates, know-how, and other materials that existed before, or were developed independently of, the Program Week. To the extent any such materials are embedded in your deliverables, you receive a perpetual, non-exclusive, royalty-free license to use them as part of the deliverables. • Generic components. Code, patterns, and utilities of general applicability created during the Program Week that are not specific to your business and do not embody your confidential information remain ours, and are licensed to you on the same perpetual, non-exclusive, royalty-free basis as part of the deliverables. This lets us serve every participant well without rebuilding common scaffolding. • Third-party and open-source components. Deliverables may include third-party and open-source software (for example, the Flutter framework and published packages), which is governed by its own licenses, is excluded from the assignment above, and is provided to you under those licenses. Absent a written agreement otherwise, we use components under permissive licenses (e.g., MIT, BSD, Apache-2.0). • General knowledge. Nothing restricts our use of general skills, ideas, and experience gained during the engagement, provided we do not use or disclose your confidential information.

9. Confidentiality

Each party will keep the other's non-public business and technical information confidential, use it only for the Program, and protect it with reasonable care. Disclosure to service providers used in performing the work — including the AI tools and providers described in Section 4 — is permitted, provided the use remains limited to performing the services. This obligation survives for two (2) years after the Program Week and does not apply to information that is public, already known, independently developed, or required to be disclosed by law. If your project requires a separate NDA, we will consider signing a reasonable one; if its terms conflict with these, the NDA controls for confidentiality.

10. No Warranty

The Program Week services and deliverables are provided "as is" and without warranty of any kind, to the maximum extent permitted by law. We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Program Week work is often exploratory (prototypes, assessments, first iterations) and is not represented as production-ready unless we say so in writing. You are solely responsible for testing, evaluating, and accepting deliverables before any production or customer-facing use, and for all decisions your business makes based on our advice or work. Nothing in the Program constitutes legal, financial, tax, or other regulated professional advice. We do not warrant any business outcome from the Program — including revenue, user adoption, performance, search ranking, or acceptance by any app store.

11. Limitation of Liability

Participation in the Program, and any use of the deliverables, is at your own risk. To the maximum extent permitted by law: (a) neither party is liable to the other for indirect, incidental, consequential, special, or punitive damages arising from the Program, including lost profits, lost data, or business interruption; (b) Tall Oaks Ventures' total aggregate liability arising from the Program is limited to one hundred U.S. dollars (US $100), reflecting that the services are provided free of charge; and (c) your sole and exclusive remedy for any deficiency in the services or deliverables is, at our option, re-performance of the affected services within the Program Week's hours or the amount in (b). Nothing in these terms limits liability that cannot lawfully be limited.

12. Indemnification and Release

You will defend, indemnify, and hold harmless Tall Oaks Ventures, LLC and its members, managers, officers, employees, and agents (the "TOV Parties") from and against any third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising out of: (a) materials, data, or instructions you provide (including any claim that they infringe or misappropriate another's rights); (b) your use, modification, deployment, or commercialization of the deliverables after delivery; (c) your products, services, websites, apps, or business operations; or (d) your breach of these terms. To the maximum extent permitted by law, you release the TOV Parties from all claims arising out of or relating to the Program beyond the limited liability described in Section 11. This section survives the end of the Program Week and of the Program.

13. No Ongoing Obligation

The Program Week creates no obligation for you to purchase anything from Tall Oaks Ventures and no obligation for Tall Oaks Ventures to provide services beyond the Program Week. Any further engagement would be under a separate written agreement with its own pricing and terms. Either party may end participation in the Program at any time, for any reason, by written notice; Sections 7 (marketing permission, for work already performed), 8, 9, 10, 11, 12, and 15 survive.

14. Relationship of the Parties; Contracting Entity

Tall Oaks Ventures is an independent contractor. The Program does not create any partnership, joint venture, agency, or employment relationship. The Program is non-exclusive: we may provide services, under the Program or otherwise, to other businesses, including businesses similar to or competitive with yours. All Program services are provided solely by Tall Oaks Ventures, LLC, and these terms are an agreement exclusively between your business and Tall Oaks Ventures, LLC. No member, manager, officer, employee, or contractor of Tall Oaks Ventures, LLC assumes any personal obligation or liability under these terms or the Program, and you agree that any claim arising from the Program may be brought only against Tall Oaks Ventures, LLC and satisfied only from the assets of Tall Oaks Ventures, LLC.

15. Privacy

Application information is used to evaluate applications, administer the Program, and contact you about it, consistent with our privacy practices. We do not sell application information.

16. Changes to the Program

We may modify, suspend, or end the Program (including these terms) at any time by posting an updated version; changes do not retroactively affect a business already selected and confirmed, whose participation remains governed by the version in effect at its confirmation.

17. General

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, and any dispute will be resolved in the state or federal courts located in Palm Beach County, Florida. These terms are the entire agreement regarding the Program, superseding prior discussions about it. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.
